Trade Coffee Referral Program Terms of Service

This Referral Program ("Program") is operated by Seed Leaf Inc. DBA Trade Coffee ("Trade," "we," "us," or "our") and is hosted through Yotpo Loyalty.

1. Eligibility:

• Active Trade Subscribers: To participate in the Program, you must be an active Trade subscriber who has made at least one purchase of $15 or more on drinktrade.com.
• New Customers: Referred friends must be new customers to Trade and have never made a purchase on drinktrade.com.
• Referral Limit: Eligible active Trade subscribers can refer up to 5 friends within a 30-day period, earning up to $75 in Trade credit.

2. Referral Process:

• Referral Link: You will receive a unique referral link at https://www.drinktrade.com/pages/refer-a-friend
• Share Your Link: Share your referral link with your friends through any means you choose.
• Referrals: Your friends must click on your unique referral link to become a referred customer.
• Successful Referral: Once your referred friend successfully completes their first purchase on drinktrade.com, you will receive $15 in Trade credit.

3. Referral Rewards:

• Trade Credit: You will receive $15 in Trade credit for each successful referral. This credit can be used towards any purchase on drinktrade.com.
• Credit Expiration: Trade credit earned through the Program expires after 365 days from the date of issuance.

4. Restrictions:

• Self Referrals: You cannot refer yourself or anyone within your household.
• Void Referrals: Referral orders with matching emails, billing, or shipping addresses to the referrer will be voided.
• Fraudulent Activity: Trade reserves the right to void any referrals deemed fraudulent or in violation of these terms.
• Disqualification: Referrers who engage in self-referrals or violate any Program terms will lose the ability to refer and forfeit all credit earned through the Program.

5. Program Modification:

Changes: Trade reserves the right to modify or terminate the Program at any time without prior notice. We will make reasonable efforts to notify you of any changes.

7. Disclaimer:

No Warranties: The Program is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Trade does not warrant that the Program will be uninterrupted or error-free.

8. Limitation of Liability:

No Liability: Trade is not liable for any damages arising from or related to your participation in the Program, including but not limited to direct, indirect, incidental, consequential, or punitive damages.

9. Entire Agreement:

Agreement: These Terms of Service constitute the entire agreement between you and Trade regarding the Program. They supersede all prior or contemporaneous communications and proposals, whether oral or written.

10. Severability:

Valid Clauses: If any provision of these Terms of Service is held to be invalid or unenforceable, such provision shall be struck from these Terms of Service and the remaining provisions shall remain in full force and effect.

12. Other Terms and Conditions:

Trade Terms: These Terms of Service are in addition to, and not in substitution for, Trade's general terms and conditions of use found on drinktrade.com.

By participating in the Program, you agree to be bound by these Terms of Service.

Referral Sweepstakes Official Rule

1. Sweepstakes Period: The Sweepstakes runs from August 1, 2025 at 12:00:00 AM Eastern Time ("ET") to August 30, 2025 at 11:59:59 PM ET ("Sweepstakes Period").

2. Eligibility: The Sweepstakes is open only to legal residents of the United States who are at least 18 years old at the time of entry. Void where prohibited or restricted by law. Employees of Trade and its affiliates, subsidiaries, advertising and promotion agencies, and immediate family members and/or those living in the same household of each are not eligible to participate.

3. How to Enter: No purchase necessary to enter or win. To enter, refer a friend to Trade through your unique referral link located at https://www.drinktrade.com/pages/refer-a-friend. Your friend must sign up for Trade during the Sweepstakes Period for your entry to be valid. Each valid referral will automatically constitute one (1) entry into the Sweepstakes. To enter the Sweepstakes without making a referral, send an email to support@drinktrade.com with the subject line “Trade Sweepstakes Entry” and include your full name, mailing address, phone number, and email. Limit one entry per person, regardless of method of entry.

4. Prize: One (1) winner will receive $500 in coffee credit to be used on the Trade website (drinktrade.com). The Approximate Retail Value (ARV) of the prize is $500. The prize is non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. All federal, state, and local taxes associated with the receipt or use of the prize are the sole responsibility of the winner.

5. Winner Selection and Notification: The potential winner will be selected in a random drawing from all eligible entries received during the Sweepstakes Period. The drawing will be conducted within 7 days after the end of the Sweepstakes Period. The potential winner will be notified via email within 3 days after the drawing date. If the potential winner does not respond within 10 days after the notification attempt, the prize may be forfeited, and an alternate winner may be selected.

6. General Conditions: By participating, entrants agree to be bound by these Official Rules and the decisions of the Sponsor, which shall be final and binding in all respects. Sponsor reserves the right to disqualify any person tampering with the entry process or otherwise violating these Official Rules.

7. Limitations of Liability: Sponsor is not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors, or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize.

Winners List: To obtain a copy of the winner's name or a copy of these Official Rules, mail your request along with a stamped, self-addressed envelope to: Seed Leaf Inc. dba Trade Coffee, 9 E 40th st. Fl 11, New York, NY 10016 Requests must be received no later than 7 days after the end of the Sweepstakes Period.
